Quote Terms & Conditions

These general terms apply to every quotation issued by Anti-Ligature Australia Pty Ltd. They form part of any contract that comes into existence when a quotation is accepted, and should be read alongside the specific terms on the face of the quotation itself.

Definitions & application

Who the parties are and where these terms apply.

In these terms, “ALA”, “we”, “us” or “our” means Anti-Ligature Australia Pty Ltd (ABN 29 660 886 224). “Client” or “you” means the person, company or organisation to whom the quotation is addressed. “Quote” means the written quotation document to which these terms are attached or to which these terms are referenced.

These terms apply to every Quote we issue and form part of any contract formed between ALA and the Client when the Quote is accepted, unless otherwise agreed in writing signed by an authorised representative of ALA. Where the Client issues a purchase order, the terms of the Quote and these conditions prevail to the extent of any inconsistency.

Acceptance

How a Quote becomes a binding contract.

A binding contract is formed when ALA receives payment in full of the Quote amount in cleared funds. Receipt of cleared funds is the sole form of acceptance unless a different acceptance mechanism is confirmed by ALA in writing.

By making payment, the Client acknowledges that they have read, understood and agreed to these terms and confirms their authority to enter into this agreement on behalf of any organisation named in the Quote.

Validity

How long a Quote is valid for.

Unless the Quote states otherwise, the Quote is valid for thirty (30) days from its date of issue. After this period, pricing, availability, lead times and specifications are subject to re-confirmation by ALA and may change without notice.

Pricing & GST

Currency, GST treatment, and price adjustments.

All prices in the Quote are in Australian Dollars and exclusive of GST unless explicitly marked as GST-inclusive. The applicable Goods and Services Tax will be added to the tax invoice in accordance with Australian taxation law.

Prices are based on costs current at the date of the Quote. ALA reserves the right to vary pricing prior to acceptance to reflect any change in supplier pricing, currency exchange rates, freight rates, duties or taxes, where the variation is outside ALA’s reasonable control.

Payment

Payment in full, EFT, and card processing.

Full payment (100%) is required upon acceptance of the Quote and must be received in cleared funds before goods are released, dispatched or services commence. Payment is to be made by Australian electronic funds transfer (EFT) to the bank account nominated on the Quote.

Card payments may be accepted at ALA’s discretion via a secure payment link and are processed by Stripe Payments Australia Pty Ltd. From 1 October 2026, in line with Australian Government policy, card surcharges will not apply; any card processing cost is included in the listed price.

The Client must use the Quote or invoice number as the payment reference. Where a payment is received without a clear reference, ALA may delay release of goods or services until the payment is reconciled.

Scope & variations

What's included and what counts as a variation.

The scope of supply or work is limited to the items, quantities and specifications set out in the Quote. Any additional work, change of specification, increase in quantity, alternative product or additional service requested by the Client will be treated as a variation.

Variations will be priced and quoted separately and must be agreed in writing before ALA proceeds. ALA will not be liable for delays, shortfalls or non-conformities arising from variations requested outside this process.

Lead time, freight & delivery

Lead-time estimates, freight, and delivery commitments.

Lead times stated in the Quote are estimates only and are confirmed at the time of order acceptance. Lead times are subject to manufacturer confirmation, supplier stock, freight scheduling and current logistics conditions, all of which may change without notice to ALA.

Freight, packaging, insurance, installation, site induction requirements, lift hire, traffic management and any other site costs are quoted separately per shipment or project and are not included in line item pricing unless explicitly stated.

Delivery dates are estimates only. ALA will use reasonable endeavours to meet quoted delivery and installation dates but is not liable for any direct or indirect loss arising from delay where the cause is outside ALA’s reasonable control.

Risk & title

When risk and ownership of goods pass to the Client.

Risk in the goods passes to the Client on delivery to the nominated delivery address or to the Client’s nominated carrier, whichever occurs first. The Client is responsible for inspecting goods on arrival and notifying ALA in writing of any visible damage, shortage or non-conformity within seven (7) days of delivery.

Title in the goods remains with ALA until ALA has received payment in full of all amounts owing under the Quote and any related invoices, including any incidental charges. Until title passes the Client holds the goods as bailee and must not dispose of, encumber or commingle them with other goods in a way that prevents ALA from identifying them.

Warranties

Manufacturer warranties and ACL rights.

Products supplied by ALA are covered by the original manufacturer’s warranty in respect of materials and workmanship. ALA will use reasonable endeavours to facilitate warranty claims on behalf of the Client but is not the warrantor and is not responsible for any warranty service beyond the manufacturer’s published terms, duration and limits.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, condition, warranty or other right that the Client has under the Australian Consumer Law or any other law where to do so is unlawful.

Limitation of liability

Indirect-loss exclusion and overall liability cap.

To the maximum extent permitted by law, ALA is not liable to the Client or any third party for any indirect, incidental, special or consequential loss or damage, including loss of revenue, loss of profit, loss of contracts, loss of opportunity, loss of goodwill, business interruption or delay costs, arising out of or in connection with the supply of goods or services under the Quote, whether in contract, tort (including negligence), under statute or otherwise.

ALA’s total aggregate liability arising out of or in connection with any Quote is limited, at ALA’s option, to either resupply of the relevant goods or services, the cost of resupply, or repair or replacement of the affected goods. In no event will ALA’s total liability exceed the amount actually paid by the Client to ALA under the relevant Quote.

Cancellations & refunds

Cancellation process, restocking, and refund treatment.

Cancellation requests must be made in writing to [email protected]. Once payment has been received, the Quote is treated as accepted and orders may have already been placed with manufacturers and freight forwarders.

Where goods have been ordered from a supplier, cancellation may be subject to supplier restocking fees, freight reversal charges, currency hedging losses and any other costs incurred by ALA on the Client’s behalf. These costs will be deducted from any refund. ALA is not obliged to accept the return of goods that have been installed, modified, made-to-order or otherwise rendered non-resaleable.

Refunds for services not yet performed will be at ALA’s discretion and subject to deductions for work performed, materials committed and reasonable internal administration costs.

Confidentiality

Handling of pricing, specifications, and disclosures.

The Quote, pricing, technical specifications, drawings, supplier relationships and any non-public information disclosed by either party in connection with the Quote are treated as confidential and must not be disclosed to any third party (other than the recipient’s professional advisers, contractors and personnel who need to know) without the prior written consent of the disclosing party.

This obligation continues for two (2) years after the date the Quote expires or the contract is completed, whichever is later.

Force majeure

Events outside our reasonable control.

ALA is not liable for any failure or delay in performing its obligations under a Quote where the failure or delay is caused by circumstances outside its reasonable control, including but not limited to acts of God, fire, flood, storm, pandemic, government action, industrial dispute, supplier insolvency, shipping disruption, or interruption of essential utilities. ALA will notify the Client of the event and use reasonable endeavours to mitigate its effects.

Privacy

How we handle Client contact information.

ALA collects, holds and uses personal information about Client contacts solely for the purpose of providing quotes, fulfilling orders, accounting and meeting its legal obligations. Information is handled in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth). Requests in relation to personal information should be sent to [email protected].

Governing law & jurisdiction

New South Wales law applies.

These terms and any Quote are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.

Entire agreement & severance

These terms supersede prior understandings.

These terms together with the Quote constitute the entire agreement between the parties in relation to its subject matter and supersede any prior representations or understandings. No variation is effective unless agreed in writing signed by both parties. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
